There is a lot you don't know about the last 18months. All I have wanted to do David is to help you get through this situation, and Suzanne is hell bent on destroying it. I will go through my conversations with her and see if there is anything recorded about her intentions to sue RCL.

In the meantime, here is the standard quote document sent to all clients.

Lee,

I am not aware that you and Retro signed a contract. This is the first I've heard of it. Please send me a signed copy.

David

In addition David, kindly inform your MD that if she contacts my partner directly or indirectly again, we will take action for harrassment. I will also be informing Daniel Levy of the situation as it is looking increasingly likely that the majority of the issues with RCL, PP and others is soley due to Suzanne.

David,

As per emails and conversations with Suzanne (evidence will be provided to court), my costs for ECCC exceeded the amount paid, and was due to be re-imbursed. In particualy, the purchase of equipment to edit videos for animated characters, which has left me an estimated £1200 down.

In addition, work was stalled due to lack of material. Also evidenced ready for court are several conversations regarding this matter, and an agreement to code at least 1 game specifically for the website.

The services were suspended as a matter of course due to non payments.

Any statements made regarding the company or directors have been previously and repeatedly made by your MD to myself and others.

As per the contract, Creative Spectrum retain the code and only supply a license to use. This is Creative Spectrum property and has been developed over many years. RCL retain the data within the website only. In addition, Creative Spectrum sourced many images for the website at our own cost, and will duly expect that they won't be re-used without permission.

In the absence of an NDA or confidentiality agreement (which I repeatedly requested), there are no breaches.

Dear Mr Fogarty,

Retro Computers Ltd ("RCL") rejects your invoices.

You have failed to complete the code for the "Every Child Can Code" web site in a timely fashion despite having been paid for that work in advance. As a result RCL has nothing to show for the money we paid you in respect of that work. We shall be seeking appropriate reimbursement.

Retro will also be seeking compensation from you for loss of sales and loss of reputation due to your having defaced two of the company's web sites and making our shop web site inaccessable to the public.

We shall also be seeking compensation for your breaches of confidential information and your making defamatory statements about RCL, the Vega+ project and the company's individual directors. We hereby demand that you cease and desist doing so with immediate effect.

We demand that, within 24 hours of receipt of this email, you make contact with Retro's Managing Director, Suzanne Martin, and hand over to her all of the "Every Child Can Code" software and all the software for Retro's web site which you have created. If you fail to do so we shall report you to the Cyber Crimes Unit.

Kindly confirm that the address on your invoices is the correct one to use for service.

Yours sincerely,

David Levy
[Chairman - Retro Computers Ltd]

Final Letter before Action – via email
I am disappointed to see that despite numerous requests, payment for the overdue invoices as listed below has still not been received.
Invoice No Invoice Date Due Date Amount
1297 29/09/17 05/10/17 £250
1298 29/09/17 05/10/17 £250

Under the Late Payment of Commercial Debts Regulations 2013, I am entitled to claim late payment interest & compensation charges. This currently equates to £44.07 therefore, the amount to pay as at today currently stands at £544.07
Take notice that if full payment of the £544.07 is not received in our bank account by close of business on 17/11/17, I shall, without further notice, begin legal action to recover the debt, all court costs and statutory interest of 8% above the Bank of England base rate (fixed for the six month period within which date the invoice became overdue) pursuant to the late payment legislation to be borne by yourselves.
To prevent this from happening please pay in full now.
This is my final communication on the issue.
Lee Fogarty
